(“Company, we, us, or our”) and you ("you, subscriber, Licensee)") govern your use of www.clinicalpearl.com (the "Site"), including, without any limitation, to all modules and related content in the website, text, information, images, online community, software and other information, services and materials (collectively, the "Materials") and all information made available to you or by you through this Site by Company and/or third parties. Your (subscriber/Licensee) access to, and use of, this Site and its Materials is conditioned upon your complete acceptance and compliance with these Terms. By accessing and/or using this Site, you acknowledge and agree that you have read, understand, and are bound to these Terms, as they may be amended from time to time. We reserve the right to make changes to, update, add, and delete material, modules, from this Site and these Terms at any time for any reason without notice to you or any other person. We recommend that you periodically review this Site and these Terms for any changes because your continued use of this Site after we make changes indicates your acceptance to such changes. If you do not accept these Terms, as they may be amended from time to time, you should exit this Site immediately and cease any further use of any Materials you have obtained from this Site. All rights are reserved to their respective copyright owners. No further publication or commercial use may be made of the Material on this Site without our express written permission. You may not make any part of this Site available as part of another web site whether by hyperlink framing on the internet or otherwise. This Site and its content may not be used to construct a database of any kind nor may the same be stored (in whole or part) in databases for access by you or any third party or to distribute any database containing all or part of this Site or its content. Licensing and Subscription terms MD AACCESS, Inc. with hosted website ( www.clinicalpearl.com) provides a non-exclusive, nontransferable license to access educational material and solely for knowledge sharing, study, and research training purpose, subject to these terms of use and to the agreement of any fees in the defined subscription legal agreement. Site users agree to the terms that only one person at a time may access the Site using the Licensee's screen name and password, and Licensee agrees to keep user name and password secure and confidential, and not share them with any one, Or allow access to third party use their username and password to access the site for research, copy, transmit, sell, reverse engineer the software or create new material based on the existing content, lend or change the existing materials. Subscriber (licensee) can download or print out some content material solely for research or study purposes. Licensee shall not use or access the Site or Content for the benefit of third parties or knowingly permit third parties to use or access the Site or Content. Licensee may not use the Site or Content for commercial purposes, including but not limited to the sale of materials from the Content, access to the Site or bulk reproduction or distribution of the Content. Subscription Fees and Payments Various subscriptions plans will be offered for different customer market segments. All applicable monthly, annual or any other duration, subscription fees for the selected subscription plan or product on the website, www.clinicalpearl.com, must be fully paid before Licensee will be provided access to the applicable service or product. Fees and charges are non-refundable unless otherwise stated in an any other agreement with the Licenssee. You agree to pay all fees and charges related to your subscribed plan including any applicable taxes and or additional charges incurred at the time of subscription to a plan. Subscription’s fees may be billed automatically to Licensee’s credit card at the start of each subscription period, if applicable. MD ACCESS reserves the right to change subscription rates as a part of routine business evaluation. All such changes will be communicated with subscriber (License), at the time of renewal prior to the end of licensee's existing subscription plan. Additional terms and conditions may apply to specific subscription types, or various modular subscriptions. In an event of a potential conflict between terms of use for various subscription plans or specific license agreement, Modules related specific terms shall control the terms of use for the related specific module, over these general terms of use. Not Intended for Children. This Site is not intended or designed for children under the age of 13. We do not collect personally identifiable information from any person we know is under the age of 13. If you are under the age of 13, please do not supply any personally identifiable information through this Site. If you are under the age of 13 and have already provided personally identifiable information through this Site, please have your parent or guardian contact us immediately using the information below so that we can remove such information from our files. Telephone Consumer Protection Act, CAN SPAM, and Similar Law. Your use of this Site establishes a business or other applicable relationship with us for purposes of the Telephone Consumer Protection Act or other applicable law that addresses unsolicited commercial communications. Company will have no obligations with respect to the Submissions. You agree that from time to time Company may invite or otherwise make you aware of certain educational, promotional, or financial opportunities relating to your Submissions and profile.
  • You agree that as group user that you are fully responsible for the content that you post or submit in your group site.
  • You agree that Company is not responsible for the content posted in group site by group users.
  • You agree that Group administrator is solely responsible for all the contents generated in a group subscribed workspace/website and company (MDACCESS) has no responsibility to maintain, or monitor data changes in the group account.
  • Except, when these posting and inquiries have been directed for publication in our global archives, in which case, You agree that as an group subscriber, with any group affiliation, postings or submitting inquires to this Site, you hereby grant to us a royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, sublicense, modify, publicly perform, display, translate, create derivative works from, and distribute the Submissions, in whole or in part, and incorporate it into other Company publications, in any form, media, or technology now known or later developed.
  • You represent and warrant that, regarding any Submissions contributed by you that: (a) Submissions will not violate any right of any third party, including copyright, trademark, right of privacy, right of publicity, or other intellectual property, personal, or proprietary right(s); and (b) you are the owner of and/or have the right to provide such Submissions to us in accordance with these Terms. You are and shall remain solely responsible for the content of any Submissions you make.
  • The Health Insurance Portability and Accountability Act of 1996 (HIPAA) privacy rule, which took effect on April 14, 2003, allows for the use of de-identified health information so long as identifiers have been "stripped" and a key is not disclosed that would allow the information to be re-identified. Company does not possess a key to re-identify patient data.
Passwords. Company intends this Site to require a valid, working e-mail address and password to access and use the Materials on this Site. Certain other Materials or functionalities on this Site may require additional access codes. You are solely responsible for (1) maintaining the strict confidentiality of the e-mail address, passwords and codes (collectively, "ID(s)") assigned to you, (2) not allowing another person to use your IDs to access this Site, (3) any damages or losses that may be incurred or suffered as a result of you or your failure to maintain the strict confidentiality of your ID, and (4) promptly informing Company in writing of any need to deactivate an ID due to potential or actual security concerns. Company is not liable for any harm related to the theft of your ID, your disclosure of your ID, or your authorization to allow another person or entity to access and use this Site using your ID. You agree to immediately notify Company in writing of any unauthorized use of your ID. Copyright Infringement Notification. Notification of Claims of Copyright Infringement. Company respects the intellectual property of others and we require our users to do the same. If you believe that any material on this Site infringes upon any copyright you own or control, or that any link on this Site directs users to another website containing material that infringes upon any copyright you own or control, you may file a notification of such infringement with our Designated Copyright Agent as set forth below. Notice and Procedure for Notifying Designated Agent of Claims of Copyright Infringement. Company will respond expeditiously to notices of alleged infringement that are reported to Company's Designated Agent.   • Identification of the material that you're claiming has been infringed upon or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material.
  • Your full name, mailing address, telephone number, and, if available, e-mail address.
  • Both following statements:
    • "I hereby state that I have a good-faith belief that the disputed use of the copyrighted material is not authorized by the copyright owner, its agent, or the law (e.g. as a fair use)."

Infringer Policy. In accordance with the Digital Millennium Copyright Act (DMCA), the text of which may be found on the U.S. Copyright office website at http://www.copyright.gov/legislation/dmca.pdf, and other applicable law, Company has adopted a policy of banning, in appropriate circumstances and at its sole discretion, users who are deemed to be repeat infringers. Company may also, at its sole discretion, limit access to any website hosted by Company and/or terminate the accounts of any users who infringe upon any intellectual property rights of others, whether there is any repeat infringement. Counter Infringement Policy. A poster of allegedly infringing material may make a counternotification pursuant to Sections 512(g)(2) and 512(g)(3) of the DMCA. When we receive a counter-notification, we may, in our sole discretion, reinstate the material in question. To provide a counter-notification, please submit written notification to our Designated Agent as specified above and include the following:
  • Identification of the material that has been removed or to which access has been disabled by Company and the location at which the material appeared before it was removed or access was disabled.

  • A statement as follows: "I hereby consent to the authority of the Federal District Court for the judicial district Company may be found, and I will accept service of process from the complaining party who notified Company of the alleged infringement or an agent of such person."

User Conduct You agree to not use this Site to:
  • Upload, post, e-mail, transmit, or otherwise make available any content that we deem to be unlawful, harmful, threatening, abusive, bullying, harassing, false, inaccurate, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable, or that violates any applicable law;
  • Upload, post, e-mail, transmit or otherwise make available any content that we deem adult or pornographic in nature.
  • Harm minors in any way;
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity;
  • Forge headers or otherwise manipulate identifiers to disguise the origin of any content transmitted through this Site;
  • Upload, post, e-mail, transmit, or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
  • Upload, post, e-mail, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;

  • Intentionally or unintentionally violate any applicable local, state, national, or international law, encourage or provide instructions for a criminal offense, or otherwise violate the rights of any party;
  • "Stalk" or otherwise harass another; or
  • Collect or store unauthorized personal data about other users.
Disclaimer of Responsibility for Third Party Content; Reservation of Rights. We take no responsibility and assumes no liability for any Materials or Submissions posted or uploaded by you or any third party, or for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, profanity, or objectionable material you may encounter. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You acknowledge and agree that your violation of the terms and conditions of these Terms through unauthorized use of or access to this Site will result in a minimum of five thousand ($5,000.00) dollars in damages to Company based on our costs for implementing additional security measures resulting from, and our investigation into, any such violation. U.S. Government End Users. If you are affiliated with the U.S. government, then you should know that the software and documentation available on this Site is "commercial items," as that term is defined in 48 C.F.R. 2.101 (October 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (September 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 27.7202-4 (June 1995), all U.S. government end users acquire the software and documentation with only those rights set forth herein. Dealing with Advertisers. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through this Site, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such advertiser. You agree that we shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on this Site. Cooperation with Government Authorities. Applicable Laws. This Site is controlled by us from our offices within the State of New Jersey. Company makes no representation that the Materials in this Site are appropriate or available for use in other locations, and access to them from territories where their content is illegal is prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the Materials in violation of United States export laws or regulations. Any claim relating to the Materials or this Site shall be governed by the internal substantive laws of the State of New Jersey, without regard to its conflict of laws principles. Entire Agreement.
